Sophisticated Commercial Agreements
We prepare sale, distribution and license agreements for goods and services, non-disclosure agreements, standard legal terms and conditions, guarantees, indemnities and numerous other commercial agreements of day-to-day importance. We also prepare and review loan and security documentation as well as joint venture agreements and business leases.
We tailor these agreements to our client’s particular needs to help them achieve business success. No agreement is truly “standard”. Businesses of all sizes can benefit by a careful review of their legal agreements. At the same time, not all agreements need be set out in formal traditional ways. We are skilled at drafting effective legal agreements in a letter or other form, where appropriate.
Setting Up, Reorganising, Buying and Selling of Businesses
We incorporate companies under Ontario and federal Canadian legislation and advise clients with respect to name selection, trade name registration, capital structure and share issuance. We do not practice trade mark and copyright law, but have good relations with specialist firms in this area. The same applies with respect to tax advice or other specialised areas (litigation, family law, etc.).
